Terms & Conditions

Effective date: October 8, 2026

These Terms and Conditions (“Terms”) govern your use of capstonefacilitycleaning.com and the online forms, text messages, and other communications (together, the “Site”) provided by TMS Enterprise Solutions, LLC, doing business as Capstone Facility Cleaning (“Capstone,” “we,” “us,” or “our”).

1. Acceptance of These Terms

By using the Site, submitting a form, or communicating with us, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site. You must be at least 18 years old and able to enter into a binding agreement, on your own behalf or on behalf of the business you represent.

2. How Our Services Work

Capstone Facility Cleaning is a referral agency. We connect businesses, property owners, and general contractors with independent, separately owned cleaning companies for recurring commercial cleaning and post-construction cleaning, and we help coordinate bids, scheduling, and communication.

The cleaning work is performed by independent cleaning companies. They are not employees, agents, or partners of Capstone.

Each independent cleaning company controls its own workers, methods, equipment, and supplies, and is responsible for its own work, licensing, and insurance.

Capstone does not itself perform cleaning services.

The scope, price, schedule, and other terms of any project are set out in the written proposal or service agreement for that project. If that agreement conflicts with these Terms, the agreement controls for that project.

3. Bid Requests and Estimates

Submitting a bid request does not create a contract and does not obligate either of us to move forward. Bids and estimates are based on the information you provide, such as square footage, location, and timing, and may change if that information is incomplete, inaccurate, or changes, or after a site visit. A bid is binding only when it is accepted in a signed written agreement.

You agree that the information you submit is accurate and that you are authorized to request a bid for the project.

4. Vendor Applications

Cleaning companies may apply to receive referred work. Submitting an application does not guarantee approval or any amount of work. By applying, you confirm that:

  • the information and documents you submit, including insurance certificates and your W-9, are accurate and current;
  • you are an independent business and not an employee of Capstone; and
  • you will tell us promptly if your insurance coverage lapses or changes.

We may request additional information, decline an application, or remove a vendor from our network at any time. Any work referred to an approved vendor is governed by a separate written agreement.

5. Text Messaging Terms

If you check a consent box on one of our forms, you agree to receive text messages from Capstone Facility Cleaning at the mobile number you provided.

What we send. Non-marketing messages about your request, bids, scheduling, and account updates. Marketing and promotional messages are sent only if you separately opt in to them.

Consent is optional. Agreeing to receive text messages is not a condition of requesting a bid or purchasing any service.

Frequency and cost. Message frequency varies. Message and data rates may apply, depending on your mobile plan.

Opting out. Reply STOP to any message to stop receiving texts. You will receive one final message confirming your opt-out.

Help. Reply HELP, email contact@capstonefacilitycleaning.com, or call 863-356-1135.

Carriers. Mobile carriers are not liable for delayed or undelivered messages.

Your number. You confirm that you are the subscriber or authorized user of the number you provide, and you agree to tell us if your number changes.

We do not share your mobile number or text messaging consent with third parties for their marketing. See our Privacy Policy for details.

6. Email Communications

By submitting a form, you agree that we may email you about your request. Marketing emails are sent only if you opt in, and you can unsubscribe at any time using the link in any marketing email.

7. Acceptable Use

You agree not to:

  • submit false, misleading, or fraudulent information;
  • use the Site for any unlawful purpose;
  • interfere with or attempt to gain unauthorized access to the Site or its systems;
  • upload viruses or other harmful code; or
  • copy, scrape, or harvest content or data from the Site without our written permission.

8. Intellectual Property

The Site and its content, including text, graphics, logos, and forms, belong to Capstone or its licensors and are protected by law. You may view and use the Site for your own business dealings with us. You may not reproduce, distribute, or create derivative works from it without our written permission.

9. Third-Party Tools and Links

The Site uses third-party tools, such as online form, chat, analytics, and messaging providers, and may link to other websites. We do not control those third parties and are not responsible for their content, availability, or practices. Your use of them is subject to their own terms and privacy policies.

10. Disclaimers

The Site and its content are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Information on the Site is general in nature and is not a quote, a guarantee of availability, or a commitment to perform any service.

Because cleaning work is performed by independent cleaning companies, Capstone does not warrant their work except as expressly stated in a signed written agreement for your project.

11. Limitation of Liability

To the fullest extent permitted by law, Capstone and its owners, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Site or these Terms. Our total liability for any claim arising from your use of the Site will not exceed one hundred U.S. dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law, and nothing here changes the rights or remedies in a signed written agreement for a specific project.

12. Indemnification

You agree to defend, indemnify, and hold harmless Capstone and its owners, employees, and agents from any claims, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site, your violation of these Terms, or false or inaccurate information you submit.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any legal action arising from these Terms or your use of the Site must be brought in the state or federal courts serving Polk County, Florida, and you consent to the jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version on this page and change the effective date at the top. Your continued use of the Site after changes are posted means you accept the updated Terms.

15. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms and our Privacy Policy are the entire agreement between you and Capstone regarding your use of the Site.
